What Happens After the AGM: Minutes, Resolutions, and Follow-Through

An AGM is only as good as what happens after it. Accurate minutes, properly recorded resolutions, and prompt follow-through are what actually turn a meeting into action. This final part of our AGM series covers the administrative tail-end that owners rarely see – but always feel the effects of.
Minutes: More Than a Formality
Minutes are the legal record of what was discussed, decided, and resolved. They should capture:
- Confirmation of quorum and time the meeting started
- Attendance, including proxies exercised
- Each resolution as tabled, the vote count, and the outcome
- Material discussion points relevant to decisions taken
- The time the meeting closed
Distributing and Approving Minutes
Draft minutes should be circulated to trustees promptly, and made available to owners within a reasonable period after the meeting. Minutes are typically confirmed as accurate at the next trustees' meeting or the following AGM – but the resolutions themselves take effect from the date they were passed, not the date the minutes are approved.
Recording and Implementing Resolutions
A Managing Agent Should
- File all resolutions in the scheme's permanent records, cross-referenced by date and meeting
- Update the rules register if any rule changes were adopted
- Action budget-related resolutions (levy adjustments) from the agreed effective date
- Notify owners in writing of decisions that affect them directly
- Lodge any resolutions requiring CSOS or Deeds Office registration (e.g. rule amendments) within the prescribed timeframes
When Something Goes Wrong
If a material irregularity in the meeting or a resolution comes to light afterwards, an owner may approach CSOS for a ruling. This is why accurate minutes and a clean paper trail matter – they are often the deciding factor in any later dispute.
Closing the Loop
The value of an AGM is only realised once its outcomes are properly recorded, communicated, and implemented. Sloppy minute-taking or delayed follow-through can quietly erode months of good governance.
